1st & 2nd Minutes

Your new company is required to have a constitution accepted by the board of directors. When you receive your company formation pack we will have completed the registration procedures, but you need to take the next formal steps. A board of directors is expected to hold meetings and to minute the proceedings.

First minutes cover the acceptance of the fundamental arrangements under which a company is set up. This includes formal acceptance of the memorandum & articles, appointment of officers, approval of the registered office address and, if relevant, the resignation and replacement of officers who served temporarily during the initial setting-up process.

When you order first minutes from Duport Associates, we create the minute for you, signed and dated by us on your behalf. At the same time, we will provide you with second minutes, which is a model that you can use to create an appropriate minute covering the next formal step that you must take after becoming directors.
